Unconditional Lien Waiver Template
An unconditional lien waiver is a legally binding document in which a contractor, subcontractor, or material supplier permanently waives their right to file a mechanics lien against a property for a stated payment amount. Once signed, the waiver is effective immediately regardless of whether payment has actually been received. Because of this immediate effect, unconditional waivers carry more risk for the signing party and should only be executed after payment has been verified and deposited.
Unconditional lien waivers are typically used in two situations. The first is an unconditional waiver on progress payment, which is signed after a progress payment has cleared to confirm that the claimant has been paid for work completed during a specific period. The second is an unconditional waiver on final payment, which is signed at project closeout to confirm that all amounts owed under the contract have been paid in full. Property owners and title companies often require unconditional final waivers before releasing retainage or closing out a construction loan.
